2. Purpose

These Terms of Sale govern the purchase, by users, of the products and services marketed by GLOBAL AUDIO SOLUTIONS, S.L. through its website, including, among others:

• software;
• user licences;
• downloadable digital content;
• online courses;
• in-person courses;
• other services or products related to the company’s business.

Placing an order through the website implies full and unreserved acceptance of these Terms of Sale.

3. Products and services offered

GLOBAL AUDIO SOLUTIONS, S.L. may market digital, training or technical products and services through its website.

Each product or service will include, as far as possible, its description, main features, price, delivery or access method, and any other applicable specific conditions.

GLOBAL AUDIO SOLUTIONS, S.L. reserves the right to modify the commercial offer, prices, promotions and specifications of the products or services at any time, without this affecting orders already confirmed.

4. Purchase process

To make a purchase, the user must follow the ordering procedure provided on the website and supply the information requested in each case.

Before completing the purchase, the user will be able to review the order details, the total price, the applicable taxes, the selected payment method and, where applicable, the specific conditions of the product or service purchased.

Once the purchase process has been completed, GLOBAL AUDIO SOLUTIONS, S.L. will send the user confirmation of the contract by email or by another durable medium, in accordance with the applicable regulations. 

5. Prices and taxes

All prices displayed on the website are expressed in euros (€), unless expressly stated otherwise.

Unless otherwise indicated, prices will include the legally applicable taxes.

GLOBAL AUDIO SOLUTIONS, S.L. reserves the right to change its prices at any time; however, products and services will be invoiced according to the rates in force at the time of purchase.

6. Payment methods

The user may make payment using the methods available on the website at any given time, including, where applicable:

• bank transfer;
• bank card via POS terminal;
•  

GLOBAL AUDIO SOLUTIONS, S.L. may use external payment gateways or providers. In that case, payment processing may also be subject to the terms and conditions of those providers.

The purchase will not be deemed completed until payment has been correctly received or validated, unless expressly stated otherwise.

In the case of payment by bank transfer, access to the product, service, licence or course may be conditional upon effective verification of the payment.

7. Delivery, access and performance
   • Software, licences and digital content

Access to software, licences and digital content may be provided by download, activation, sending of keys, enabling of a user account or access to a private repository, as appropriate.

The user is responsible for correctly providing their contact details and for having the technical means necessary to access the purchased product.

• Online courses

For online courses, access may be provided via a link, platform, private area, repository or any other access system indicated by GLOBAL AUDIO SOLUTIONS, S.L.

• In-person courses

For in-person courses, information regarding the date, venue, schedule and attendance conditions will be provided on the course information sheet or in the corresponding communication.

GLOBAL AUDIO SOLUTIONS, S.L. may modify organisational aspects where there are justified reasons, undertaking to inform the user as far in advance as possible.

8. User account

Certain products or services, especially software, licences and downloads, may require the creation of a user account.

The user will be responsible for safeguarding their access credentials and for using them diligently.

GLOBAL AUDIO SOLUTIONS, S.L. may suspend or cancel user accounts in the event of breach of these terms, fraudulent use, unauthorised transfer of access or use contrary to good faith or to the law in force.

9. Software licences and authorised use

Unless expressly stated otherwise, the purchase of software or licences through the website does not imply the transfer of the intellectual property in the program, but only the grant of a limited, personal, non-exclusive and non-transferable right of use, under the terms indicated for each product.

It is prohibited, without the express written authorisation of GLOBAL AUDIO SOLUTIONS, S.L., to:

• copy, distribute or resell the software;
• assign or sublicense the licence;
• decompile, disassemble, reverse engineer or modify the software, except in the cases permitted by law;
• use a single licence beyond the scope authorised by GLOBAL AUDIO SOLUTIONS, S.L.

10. Right of withdrawal

As a general rule, where the purchaser is a consumer or user, they will have a period of 14 calendar days to exercise the right of withdrawal in distance contracts, unless any of the legal exceptions applies. 

However, the right of withdrawal may not apply in certain cases, including:

• courses, events or services related to leisure activities where a specific date or period of performance is provided for;
• the supply of digital content not provided on a tangible medium where performance has begun with the prior consent of the consumer and user and with their acknowledgement that they thereby lose the right of withdrawal.

Where the right of withdrawal legally applies, the user may exercise it by written notice sent to info@gaudiosolutions.com, stating their identification details, the product or service purchased and the date of purchase.

If the user has expressly requested that the provision of a service begin during the withdrawal period, and subsequently exercises that right in a case where it does legally apply, they may be required to pay the proportional part of the service already provided. 

11. Cancellations and refunds
    • Software, licences and digital content

Once access to, or the download, activation or supply of, the digital content or licence has begun, no refund will be given where the legal circumstances for loss of the right of withdrawal apply. 

• Online courses

For online courses, the cancellation or refund conditions may depend on whether access to the content has already begun, and on whether it involves downloadable digital content or training services provided on a specific date. In each case, the specific conditions communicated to the user before the purchase will prevail. 

• In-person courses

For in-person courses held on a specific date, GLOBAL AUDIO SOLUTIONS, S.L. may establish specific cancellation, rescheduling or refund conditions, which will be communicated for each course edition.

12. User obligations

The user undertakes to:

• provide truthful, accurate and up-to-date information;
• make appropriate use of the website, the user account, the content and the products purchased;
• not use the software, licences, materials or access in a fraudulent or unlawful manner or contrary to these terms;
• respect the intellectual and industrial property rights of GLOBAL AUDIO SOLUTIONS, S.L.

13. Liability

GLOBAL AUDIO SOLUTIONS, S.L. will not be liable for any damage or loss arising from:

• incorrect or unauthorised use of the products or services by the user;
• the product’s lack of suitability for particular needs of the user that were not previously communicated;
• technical incidents beyond its control, including failures of third-party providers, communication networks or payment platforms;
• incompatibilities arising from the user’s technical environment where the minimum conditions of use have been communicated in advance or where these are reasonably foreseeable as a technical requirement of the digital product. The regulations require that information be provided, where appropriate, on the relevant functionality, compatibility and interoperability of digital content and digital services.

In any event, the liability of GLOBAL AUDIO SOLUTIONS, S.L. will be limited to the maximum extent permitted by applicable law.

16. Amendment of the terms

GLOBAL AUDIO SOLUTIONS, S.L. reserves the right to amend these Terms of Sale at any time. The applicable terms will be those in force on the date the order is placed.

17. Applicable law and jurisdiction

These Terms of Sale shall be governed by Spanish law.

In the event of any conflict or dispute arising from their interpretation, validity, fulfilment or performance, the parties shall submit to the Courts and Tribunals of the consumer’s place of residence where so required by the applicable regulations. In all other cases, the parties submit to the Courts and Tribunals of Barcelona.
